Become an Affiliate

This Sales Representative Agreement ("Agreement") is made effective as of [Date], by and between CEO Solutions, a [State] Corporation ("Company"), and the Sales Representative ("Representative").

The Company hereby engages the Representative as a 1099 independent contractor for the position of Sales Representative. The Representative agrees to provide sales services as outlined in this Agreement and further agrees that they are an independent contractor and not an employee, partner, or joint venture of the Company.

The Representative will receive commission for sales generated from their leads as follows:

• Sales 1 through 3 in any given week: Representative will receive a 25% commission on the sale amount.
• Sales 4 and beyond in any given week: Representative will receive a 50% commission on the sale amount.

Commissions will be calculated and paid weekly based on sales closed by the Representative and confirmed by the Company. Payment will be made within [X] business days of the close of each week. Commissions will only be paid on completed and processed sales.

CEO Solutions reserves the right to refuse any sale or commission at its sole discretion. This may include, but is not limited to, sales that do not meet the Company’s criteria or standards, transactions that are cancelled or refunded, or any other reason the Company deems appropriate.

The Representative acknowledges that they are an independent contractor under the laws of [State], and not an employee of CEO Solutions. As such, the Representative is responsible for their own taxes, insurance, and benefits. The Representative shall not be entitled to any benefits provided to employees of CEO Solutions.

This Agreement does not create an exclusive relationship between the Company and the Representative. The Representative is free to work for other companies, provided that it does not interfere with their obligations under this Agreement.

The Representative agrees not to disclose any confidential or proprietary information belonging to CEO Solutions during the term of this Agreement or at any time thereafter. This includes, but is not limited to, customer information, sales processes, or any other Company-related data that is not publicly available.

Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party. Upon termination, the Representative is entitled to receive commission payments for any sales that were fully processed prior to the termination date.

CEO Solutions shall not be liable for any losses, damages, or expenses incurred by the Representative in connection with the performance of their duties under this Agreement. The Representative shall indemnify and hold harmless CEO Solutions from any claims, lawsuits, or other legal actions arising out of their actions or omissions.

The Representative is an independent contractor and nothing in this Agreement shall be construed as creating a partnership, joint venture, or agency relationship. The Representative has no authority to bind CEO Solutions or make any representations on behalf of the Company.

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, representations, and warranties, whether written or oral, with respect to such subject matter.
